Terms of Service

Welcome to TradeForge. These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," or "Customer") and TradeForge ("we," "us," or "our") that governs your access to and use of the TradeForge platform, including the websites, web applications, mobile-responsive interfaces, integrations, application programming interfaces (APIs), and related services (collectively, the "Service").

Please read these Terms carefully. By creating an account, accessing, or using the Service, you confirm that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Description of the Service

TradeForge is a software-as-a-service customer relationship management ("CRM") platform purpose-built for contractors, tradesmen, and home service businesses. The Service includes, but is not limited to, lead pipeline management, job tracking, estimate and proposal generation, insurance claim and supplement workflows, contract e-signature, photo documentation, automated review collection, content generation, AI-assisted communication features, and integrations with third-party providers including payment processors, email delivery providers, AI providers, and roof-measurement providers.

We may add, modify, or remove features of the Service at our discretion. We will provide reasonable advance notice of any material reduction in features that you actively rely upon.

2. Eligibility and Account Registration

To use the Service, you must be at least 18 years old and have the legal authority to enter into a binding contract. You represent and warrant that the information you provide during registration is accurate, complete, and current, and that you will keep it updated.

You are responsible for safeguarding your account credentials. You are responsible for all activity that occurs under your account, including activity by employees, contractors, or other users you authorize ("Sub-Users"). Notify us immediately at [email protected] if you suspect unauthorized access.

3. Subscription Plans, Free Trial, and Billing

3.1 Plans

The Service is offered on a subscription basis. Current plans and pricing are available at tradeforgeworks.com/#pricing. Plans are billed monthly in advance unless otherwise stated. Optional add-on packs (such as the Insurance Pack and Storm & Measurement Pack) may be added to your subscription at additional monthly cost.

3.2 Free Trial

New customers may be offered a 14-day free trial. No credit card is required to begin a trial. At the end of the trial, your access will be locked until you select and pay for a plan. We will email you on Day 7, Day 11, and Day 13 of your trial to remind you of the expiration date.

3.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly) unless you cancel before the renewal date. By providing a payment method and subscribing, you authorize us (through our payment processor, Stripe) to charge that payment method on a recurring basis. You may cancel at any time as described in Section 3.5.

3.4 Payment Processing

All payments are processed by Stripe, Inc. ("Stripe"). TradeForge does not store, process, or have access to your full payment card details. By using the Service, you agree to Stripe's terms and privacy policy available at stripe.com/legal.

3.5 Cancellation

You may cancel your subscription at any time from your account billing settings or by emailing [email protected]. Cancellation will take effect at the end of the current billing period. You will retain access to the Service through the end of your paid period. No retention call is required; one-click cancellation is supported.

3.6 Refunds

Except as required by applicable law, subscription fees are non-refundable. We may, at our sole discretion, issue refunds or credits on a case-by-case basis for material service outages or billing errors.

3.7 Pay-Per-Use Services

Certain optional services within the platform are billed on a pay-per-use basis, including (but not limited to) roof measurement orders from third-party providers (such as EagleView). When you initiate these services, you will be presented with the total cost (including any TradeForge markup, where applicable) and a confirmation step before any charge is made. Pay-per-use charges are billed to the payment method on file via Stripe.

3.8 AI Credits

Each subscription plan includes a monthly allotment of "AI Credits" used to power AI-driven features (such as draft generation, content creation, chat assistance, and proposal generation). Unused credits do not roll over to the next billing cycle. If you exhaust your monthly allotment, you may purchase additional credit packs or upgrade your plan.

3.9 Price Changes

We may modify subscription prices upon at least 30 days' advance notice by email or in-app notification. Price changes take effect at the start of your next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.

4. Customer Data and Ownership

4.1 Your Data Is Yours

You retain all rights, title, and interest in and to the data you upload, generate, or store through the Service ("Customer Data"). Customer Data includes, without limitation: leads, contacts, jobs, photos, voice transcripts, estimates, proposals, contracts, invoices, insurance claim records, and content drafts.

4.2 Our Limited License

You grant TradeForge a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Data solely for the purpose of providing, maintaining, and improving the Service for you, and to comply with legal obligations.

4.3 Data Export

At any time during your subscription, you may export your Customer Data in CSV format from your account settings or by request. We will fulfill bulk export requests within 7 business days.

4.4 Data Retention After Cancellation

If you cancel your subscription, we will retain your Customer Data for 30 days after cancellation. During this period, you may reactivate your account or request an export. After 30 days, we will permanently delete your Customer Data, subject to limited exceptions for billing records and other legally-required retention.

5. AI Features and Third-Party Processing

TradeForge uses third-party AI providers (currently Anthropic, PBC) to power certain features. When you use AI features, your input — including the content you generate, the notes you type, and the context we send (such as your company name, line items, or photo descriptions) — is transmitted to Anthropic's API for processing.

Anthropic processes this data under its commercial terms of service, which (as of the Effective Date) provide that Anthropic does not use API data to train its models. You acknowledge that AI-generated output may contain errors, omissions, or biases, and you are responsible for reviewing all AI-generated content before relying on it for business, legal, financial, or insurance-related decisions.

6. Third-Party Integrations and Services

The Service offers optional integrations with third-party providers, including but not limited to:

• Stripe — payment processing
• Anthropic — AI model provider
• Resend — transactional email delivery
• Cloudflare R2 — object storage for photos and documents
• EagleView, 1ESX, and similar providers — roof measurement reports
• NOAA / National Weather Service — public storm event data
• Google, Facebook, Yelp — review platform integrations

Your use of any third-party service is subject to that provider's own terms and privacy policy. TradeForge is not responsible for the acts or omissions of third-party providers. If you choose to connect a third-party account, you authorize TradeForge to access and exchange data with that provider as necessary to deliver the integrated feature.

7. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any law, regulation, or third-party right
• Send spam, unsolicited marketing, or harassing communications to any third party
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Upload or transmit malware, viruses, or any code designed to disrupt, damage, or limit the function of any software, hardware, or telecommunications equipment
• Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to compete with TradeForge or to develop a competing product
• Resell, sublicense, or otherwise commercialize access to the Service without our prior written consent (this restriction does not apply to your normal business use providing services to your own customers)
• Use automated means (bots, scrapers, etc.) to access or extract data from the Service in volumes that materially exceed normal human use
• Use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use
• Engage in any conduct that we determine, in our reasonable discretion, restricts or inhibits another user from using the Service

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

8. User-Generated Content and End-Customer Data

You are solely responsible for any content you create, upload, or transmit through the Service, including communications you send to your own customers ("End Customers"). You represent and warrant that:

• You have all necessary rights and consents to upload Customer Data, including any photos, contact information, or personal data of End Customers
• Your use of the Service complies with applicable telemarketing, anti-spam, and consumer protection laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state-level equivalents
• You will obtain any consent required by law from End Customers before sending them automated messages, photos, or other communications through the Service

You indemnify TradeForge against any claims arising from your handling of End Customer data or communications.

9. Service Availability

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted or error-free. We may schedule maintenance windows or experience unplanned outages. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance.

We are not liable for any loss or damage arising from Service unavailability, except to the extent required by applicable law.

10. Modifications to the Service and These Terms

We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will notify you by email or in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree, you must stop using the Service and cancel your subscription.

11. Term and Termination

11.1 Term

These Terms begin when you first access the Service and continue until terminated by you or by us.

11.2 Termination by You

You may terminate this agreement at any time by cancelling your subscription and ceasing use of the Service.

11.3 Termination by Us

We may suspend or terminate your access to the Service immediately, with or without notice, if:

• You materially breach these Terms (including the Acceptable Use Policy)
• Your subscription becomes past due and remains unpaid after a reasonable cure period
• Required by law, regulation, or court order
• We determine, in our reasonable discretion, that your account poses a security or legal risk to us or other users

11.4 Effect of Termination

Upon termination, your right to access and use the Service ends immediately. Sections of these Terms that by their nature should survive termination (including Sections 4, 7, 8, 10–13, and 15–18) will survive.

12. Disclaimers of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TRADEFORGE DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, TRADEFORGE DOES NOT WARRANT THAT:

• The Service will meet your requirements
• The Service will be uninterrupted, timely, secure, or error-free
• AI-generated content will be accurate, complete, or suitable for any particular use
• Third-party integrations will function as expected or remain available
• Defects in the Service will be corrected

You acknowledge that AI features are inherently probabilistic and may produce inaccurate output. You are solely responsible for reviewing all AI-generated content before using it in any communication, contract, estimate, supplement, insurance filing, or other business document.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TRADEFORGE OR ITS OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
• LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, OR LOST CUSTOMERS
• LOSS OF DATA OR COST OF DATA RECOVERY
• SERVICE INTERRUPTIONS OR LOSS OF GOODWILL

EVEN IF TRADEFORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRADEFORGE'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF (a) THE TOTAL AMOUNT YOU PAID TO TRADEFORGE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless TradeForge and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including any End Customer right to privacy, intellectual property, or consumer-protection right
• Any content you upload, transmit, or generate using the Service
• Any communication you send through the Service to a third party

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

15.2 Mandatory Arbitration

Please read this section carefully — it affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration, except that either party may bring an individual action in small-claims court for a Dispute that qualifies, or seek injunctive relief in court for the unauthorized use of intellectual property or confidential information.

Arbitration will be administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Delaware or, by mutual agreement, by video conference. The arbitrator's decision will be final and binding.

15.3 Class Action Waiver

YOU AND TRADEFORGE EACH AGREE THAT ANY DISPUTE WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate or combine more than one party's claims and may not preside over any form of consolidated, representative, or class proceeding.

15.4 30-Day Opt-Out

You may opt out of the arbitration provisions in this Section 15 by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your full name, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

16. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party that is marked or reasonably understood to be confidential, including business plans, customer lists, and pricing information. This obligation survives termination for two years.

17. Notices

We may send notices to you by email to the address associated with your account, by in-app message, or by posting on the Service. You may send notices to us by email to [email protected].

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any order forms or addenda we mutually agree to in writing, constitute the entire agreement between you and TradeForge regarding the Service. They supersede any prior or contemporaneous agreements on the same subject.

18.2 Assignment

You may not assign or transfer these Terms or any of your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets.

18.3 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.4 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

18.5 Force Majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of war, terrorism, civil unrest, government actions, labor disputes, or failures of the internet or third-party hosting infrastructure.

18.6 Headings

Section headings are for convenience only and do not affect interpretation.

18.7 Independent Contractors

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
